1. Acceptance of Terms

By accessing or using BrewPlanner ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

BrewPlanner is a cloud-based production planning and management platform designed for breweries, wineries, distilleries, and related beverage producers. The Service includes batch scheduling, recipe management, inventory tracking, reporting, team collaboration tools, and related features as described on our website.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and update your information to keep it accurate
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 16 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Billing

4.1 Plans and Pricing

The Service is offered under subscription plans as described on our pricing page. Prices are subject to change with 30 days' prior notice.

4.2 Free Trial

We may offer a free trial period. At the end of the trial, your account will require a paid subscription to continue accessing the Service. We will notify you before the trial ends.

4.3 Payment

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your designated payment method for all applicable fees. If payment fails, we may suspend access to the Service until payment is received.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5. Your Data

5.1 Ownership

You retain all rights to the data you upload to the Service, including recipes, production records, inventory data, and any other content ("Your Data"). We do not claim ownership of Your Data.

5.2 License to Us

You grant us a limited license to use, store, and process Your Data solely to provide and improve the Service. This license ends when you delete Your Data or close your account.

5.3 Data Export

You may export Your Data at any time through the Service. Upon account termination, we will make Your Data available for export for 30 days before permanent deletion.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malware, viruses, or harmful code
  • Resell, sublicense, or redistribute the Service without our written consent
  • Use automated tools to scrape, crawl, or extract data from the Service

7. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by BrewPlanner and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand elements without prior written consent.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will provide reasonable advance notice of planned downtime when possible.

9. Limitation of Liability

To the maximum extent permitted by law, BrewPlanner and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or available at all times.

11. Indemnification

You agree to indemnify and hold harmless BrewPlanner, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including data ownership, limitation of liability, and indemnification) will remain in effect.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you should discontinue use of the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of competent jurisdiction.
